Responsibility across contracts, checked against the whole business scheme

Under PPA, EPC and O&M contracts, the power producer, EPC contractor, O&M contractor and electricity consumer are often bound by separate contracts. We check for gaps or overlaps in responsibility between related contracts across the entire contract term. For industrial waste treatment outsourcing, we also confirm that the permit scope and treatment route match the contract terms.

  • You cannot explain the PPA's electricity volume and price adjustment clauses internally
  • Responsibility for completion delays or performance shortfalls in the EPC contract is unclear
  • You want to check permits against the contract when changing waste contractors
  • You have no materials for comparing power procurement schemes

Use cases

Common requests and what you receive

From solar PPAs to waste treatment outsourcing contracts, we set out the clauses to review and the deliverables according to differences in the business scheme.

  1. 01

You have been presented with a PPA for installing solar power equipment on the roof of your own plant

If left aloneEntering into a long-term contract without reviewing the electricity volume, contract term, price adjustment and equipment removal terms upon termination leaves you with unexpected burdens or restrictions on termination

What we doWe review the contract form of the on-site PPA, the method of calculating electricity volume, the price adjustment terms during the contract term and the equipment removal and buyout terms upon termination

    What you receive
    • Issue list by contract clause
    • Draft revisions with tracked changes
    • Internal risk explanation materials
  2. 02

In entering into an EPC contract for a power generation business, you want to organize the performance guarantee and responsibility for completion delays

If left aloneContracting while the allocation of responsibility for completion delays or performance shortfalls remains ambiguous in the clauses means that the burden of liquidated damages for delay and repair obligations differs from what was expected

What we doWe review the performance guarantee level, the allocation of responsibility for completion delays, liability for non-conformity with the contract and the warranty period terms, according to whether you are the owner or the contractor

    What you receive
    • EPC contract issue list
    • Draft revisions with tracked changes
    • Memo confirming consistency of the scope of responsibility with the O&M contract
  3. 03

Changing your waste treatment contractor requires a review of the contract and permits

If left aloneSwitching contracts without confirming the contractor's permit scope, treatment capacity and manifest practice exposes you to violations of outsourcing standards and the risk of corrective orders

What we doWe review the contractor's permits, treatment route, manifest practice and whether the outsourcing contract complies with the outsourcing standards

    What you receive
    • Results of the outsourcing contract review
    • Outsourcing standards checklist
    • Internal explanatory materials for the switchover
  4. 04

You want to compare contract schemes for power procurement to meet decarbonization targets

If left aloneConsideration proceeds without organizing the differences among schemes such as on-site PPAs, off-site PPAs, virtual PPAs and self-wheeling, and the business plan and contract terms diverge

What we doWe organize the differences in contract structure, attribution of electricity volume and allocation of responsibility over the contract term for each power procurement scheme

    What you receive
    • Issue summary comparing schemes
    • List of contractual points to note for each scheme under consideration

Our approach

What we focus on in Environment and Energy

In environment and energy contracts, we focus on the following perspectives in our review.

  1. 01

Reviewing on the premise that equipment, land and contracts are tied to different parties

In PPA, EPC and O&M contracts, the power producer, EPC contractor, O&M contractor and electricity consumer are often bound by separate contracts, so we review not just a single contract clause but the gaps in the allocation of responsibility across related contracts.

  2. 02

Considering price and responsibility allocation in light of the length of the contract term

PPAs often run for long contract terms, so for electricity volume, price adjustment and responsibility for maintaining equipment, we review how the burden changes not only at signing but over the entire contract term.

  3. 03

Reviewing not only the waste treatment outsourcing contract but also the actual treatment route and permits

For industrial waste treatment outsourcing contracts, we not only review the outsourcing standards in the contract but also confirm whether the contractor's permit scope, treatment route and actual manifest practice match the contract content.

  4. 04

Confirming consistency across contracts in light of the overall business scheme

Because multiple contracts, such as the EPC and O&M contracts or the PPA and land use contract, support the same business, we review the overall business scheme to confirm that there are no contradictions between clauses or gaps in responsibility.

What we check before quoting

  • The type and number of contracts concerned (PPA, EPC, O&M, waste treatment outsourcing and the like)
  • Whether there are other related contracts (land use contracts, supply and demand contracts and the like) and the scope of review
  • The length of the contract term and the complexity of the clauses
  • The expected duration of negotiations on terms with the business operator or contractor
  • Whether ongoing review support, such as for switching contractors, is needed

Estimates vary with the type of contract, the scope of related contracts and the state of negotiations, so we present an individual estimate after hearing an outline of the contracts concerned and the business scheme.

FAQ

Frequently asked questions

Can we consult you before a PPA has been drafted?

You can consult us from any stage, from the review stage before a PPA is drafted, to reviewing a draft contract presented by the counterparty, to internal explanations just before signing.

Can you review the EPC contract and the O&M contract together?

Because the allocation of responsibility in EPC and O&M contracts is often linked, we can review them together. If any contracts have already been signed, please let us know their content as well.

When changing the waste treatment contractor, can you review both the contract and the permits?

Beyond checking that the outsourcing contract complies with the outsourcing standards, if you provide copies of the contractor's permits and materials on the treatment route, we will also confirm their consistency with the contract content.

Can we consult you from the consumer's side (the company purchasing electricity) rather than the power producer's side?

We act for either the power producer or the consumer. If you let us know your contractual position, we will review on that basis.

Can we consult you if we have only a draft contract and no materials on the business scheme?

We can start reviewing with only a draft contract. However, if you also provide information showing an outline of the business scheme and whether there are related contracts, a more practical review becomes possible.

Can we request both one-off reviews of individual contracts and ongoing involvement in the whole business?

A one-off engagement involves reviewing each individual contract. An ongoing engagement also covers recurring review work, such as entering into PPAs at multiple sites and periodically reviewing contractors.

Can we also ask you to review the land acquisition or the construction contract itself?

Acquisition and lease contracts for the land on which power generation equipment is installed, and construction contracts themselves, are handled on the Real Estate and Construction page. To the extent they relate to PPA, EPC, O&M or waste treatment outsourcing contracts, you can consult us on them together.

Do you also handle contracts for demonstration projects or public tenders with local governments?

Contracts relating to collaboration with local governments and public tenders are handled on the Public Sector and Government Services page. Where environment and energy contracts relate to a local government project, we can review them together.
