Sorting out mobility service regulations and contracts from a scheme diagram

The permits and registrations a mobility service needs can change with who owns and operates the vehicles, how fares are collected and the contractual relationship with users. We diagram the users, vehicle owners, drivers, operating entity and flow of fares, and work through regulatory applicability and the contractual allocation of responsibility together. We also reflect the use of driving data and location information, delivery outsourcing and alliances among multiple operators in your contracts, following the flow of data and responsibility.

  • You cannot determine the permit category for a new mobility service
  • Your terms have not kept up with how vehicle data is used
  • The contract does not set out the scope of responsibility for accidents during delivery
  • The point of contact and cost sharing for MaaS outages have not been decided

Our approach

What we focus on in Mobility and Automotive

In mobility and automotive legal work, we focus on the following points.

  1. 01

Considering regulatory applicability from a business scheme diagram

Rather than only applying statutory provisions in the abstract, we diagram who owns and operates the vehicles, how fares are collected and the contractual relationships with users, and then consider the areas where permits and registrations may be relevant.

  2. 02

Matching data flows to contract clauses

We confirm the data flow for location information and vehicle data from collection through storage, sharing and deletion, and check whether the relevant clauses of the terms of service, privacy policy and outsourcing agreements match actual operations.

  3. 03

Setting out the allocation of responsibility among multiple operators across the whole contract structure

Where multiple operators are involved, as in MaaS and delivery outsourcing, we check not only the scope of responsibility in each individual contract but also whether responsibility for accidents and outages is allocated consistently across all the contracts among the operators.

  4. 04

Adjusting the scope of review to the business phase

We change the priority of issues to review according to the business phase, such as the planning stage of a new business, just before launch or when adding features, and carry out the necessary review within limited time.

FAQ

Frequently asked questions

Can we consult you at the planning stage of a new business in the mobility field?

You can consult us from the planning stage, before the business scheme has been finalized. If you have information on the overview of the service you envisage and the relationships among the parties, we start by setting out the issues at the early stage.

Can you check only whether a transport business permit is required?

We also accept engagements limited to confirming regulatory applicability. However, because the permit and registration categories required can change with the service design, we confirm them after hearing the specific details of the service.

Can we consult you about the handling of vehicle data and location information before any contracts exist?

You can start a consultation even before contracts or terms exist. If you have information on the types of data you plan to collect and the purposes of use, we set out a policy for reflecting them in your terms and contracts.

Can we engage you on a one-off basis just to review a delivery outsourcing agreement?

We also accept one-off engagements limited to reviewing an existing delivery outsourcing agreement. If you want to manage multiple outsourcing agreements on an ongoing basis, please also consider Legal Outsourcing.

Can you also respond urgently after an accident or problem has occurred?

We also handle setting out the scope of responsibility and the contractual response after an accident or delivery problem has occurred. Please first tell us what happened and which contracts are involved.

Can we also consult you about the handling of personal data, including location information, in general?

Designing the use of vehicle data and location information specific to mobility services is within our scope here, but compliance with the Act on the Protection of Personal Information (APPI) and putting privacy policies in order generally are handled on the Data Privacy page.

Do you also handle terms of service and development agreements for apps and systems?

Reviewing terms of service and business alliance agreements for mobility services is within our scope here, but putting development and maintenance agreements for apps and systems themselves in order is handled on the IT, SaaS and System Development page.

Do you also handle agreements relating to research and development of autonomous driving technology?

Research and development agreements for technologies such as autonomous driving and joint research agreements with universities and similar institutions are handled on the Deep Tech page. This page focuses on contracts and regulatory checks at the service operation stage.
